Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vocordia's websites, desktop applications, and related services (collectively, the "Services") provided by Vocordia. ("Vocordia," "we," "us," or "our"). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts and registration

You may need to create an account to access certain features. You agree to provide accurate information and to keep your credentials confidential. You are responsible for activity under your account. Notify us promptly at support@vocordia.com if you suspect unauthorized access.

3. The Services

Vocordia provides software that assists you in completing tasks in other applications using features such as voice input, on-screen guidance, and step-by-step assistance. The Services may access, process, and interpret information that is visible on your screen, including user interface elements, application states, and interactions such as voice input, cursor movement, and commands, in order to deliver real-time guidance and execution assistance. By using the Services, you acknowledge and consent that screen content, including potentially sensitive or third-party data visible during use, may be processed as necessary for functionality, in accordance with our Privacy Policy. The Services rely on automated systems, including AI and machine learning models, to interpret user intent and generate outputs. We may modify, suspend, or discontinue features with reasonable notice where practicable.

4. Subscriptions and payments

Paid plans are billed on a subscription basis through our payment processor (currently Stripe). By purchasing a subscription, you authorize us and our payment processor to charge your payment method on a recurring basis according to the plan you select. Fees are stated at checkout and may change with advance notice for future billing periods. Taxes may apply where required by law. Unless otherwise stated at purchase, you may cancel your subscription through the account or billing tools we provide. Cancellation stops future charges; it does not refund prior charges except where required by law or as expressly offered. We may offer a refund for first-time purchases if requested within 30 days of the initial purchase. Refunds may be denied in cases of excessive usage, abuse, or where a substantial portion of the service has already been consumed. Refund eligibility is determined at our sole discretion. All payments, billing processes, and refunds are handled by our payment processor Stripe and are subject to Stripe's terms and conditions. If your plan includes usage-based limits such as number of requests or executions, access to certain features may be restricted once those limits are reached unless you upgrade your plan.

5. License to the software

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Vocordia desktop application for your personal or internal business purposes. You may not copy, modify, distribute, sell, lease, reverse engineer, or attempt to extract the source code of the Services, except to the extent that restriction is prohibited by applicable law.

6. Acceptable use

You agree not to violate any law or third-party rights; use the Services to transmit malware, spam, or harmful content; probe, scan, or test the vulnerability of our systems without authorization; interfere with or disrupt the Services or other users' use; use the Services to automate access to third-party services in violation of those services' terms; or attempt to access accounts or data that are not yours without permission. You also agree not to use the Services to process, capture, or expose sensitive information, including personal data, financial data, credentials, or confidential business information, in violation of applicable laws, contractual obligations, or third-party rights.

7. Third-party services

The Services may interact with software and services operated by third parties, for example applications on your device. Your use of those third-party services is governed solely by their terms and policies. We are not responsible for third-party products or content. Because the Services interact with third-party applications through your device interface, we do not guarantee compatibility, accuracy, or continued functionality with any specific third-party software.

8. Intellectual property

The Services, including software, branding, and documentation, are owned by Vocordia or our licensors and are protected by intellectual property laws. Except for the limited license above, no rights are granted to you. Feedback you provide may be used by us without obligation to you.

9. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, and non-infringement. Vocordia does not guarantee that the Services will be uninterrupted, error-free, or suitable for any particular outcome. AI-assisted features may produce incorrect, incomplete, or unintended results, including incorrect guidance or actions within third-party software. You remain solely responsible for reviewing and validating any actions before execution. Vocordia does not guarantee the correctness of any automated or guided outputs. Some features may be offered as beta or experimental. These features may be incomplete, subject to change, or perform unpredictably, and are used at your own risk.

10. Limitation of liability

To the maximum extent permitted by law, Vocordia and its affiliates, officers, directors, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising from or related to these Terms or the Services, even if advised of the possibility of such damages. Vocordia shall not be liable for any damages resulting from actions taken within third-party software environments, including data loss, configuration changes, financial loss, or operational disruptions. Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the greater of (a) the amounts you paid us for the Services in the twelve (12) months before the claim, or (b) one hundred U.S. dollars (US $100), except where prohibited by law.

11. Indemnity

You will defend and indemnify Vocordia and its affiliates against any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising from your use of the Services, your content, or your violation of these Terms, to the extent permitted by law.

12. Termination

We may suspend or terminate your access to the Services if you materially breach these Terms or if we are required to do so by law. We may also suspend or terminate access in cases of abuse, excessive automated usage, or behavior that may harm the integrity, performance, or security of the Services. You may stop using the Services at any time. Provisions that by their nature should survive will survive termination, including Sections 8 through 14.

13. Governing law and disputes

These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-law rules. The exclusive jurisdiction and venue for disputes arising from these Terms will be the state and federal courts located in Delaware, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes

We may update these Terms from time to time. We will post the revised Terms on this page and update the "Last updated" date. If changes are material, we will provide additional notice as appropriate, for example by email or in-app notice. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

15. Service availability

We do not guarantee uninterrupted or error-free operation of the Services. Availability may be affected by maintenance, updates, third-party dependencies, or unforeseen issues.

16. Miscellaneous

These Terms constitute the entire agreement between you and Vocordia regarding the Services and supersede any prior agreements on the subject. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Use of the Services is also subject to our Privacy Policy.
